Overview
Entrepreneurship is shaped and governed by prevailing institutions including important aspects of the law. It is critical that when starting and growing a new venture, entrepreneurs are both aware of and compliant with local and global regulations. This unit will cover key legal requirements relevant to starting, structuring and operating a business. It is important that entrepreneurs are aware of and understand the importance of contracts and the law of agency; company law including the advantages of limited liability, duties of directors and the consequences of liquidation; other legal forms of business organisation; intellectual property including trademark as it exists to protect goodwill and prevent consumer confusion, copyright as it exists to protect content, and patent and trade secrets protection to protect innovation; as well as restrictive trade practices. The ethical and compliance aspects of all topics will be examined. The unit offers students a broad overview of relevant aspects of the law to ensure legislative requirements are complied with and by doing so, risks to any potential business are mitigated. It will also enable founders to seek the right kind of legal advice at the right time for their business.

Minimum total expected workload to achieve the learning outcomes for this unit is 144 hours per semester typically comprising a mixture of scheduled learning activities and independent study. Independent study may include associated readings, assessment and preparation for scheduled activities. The unit requires on average three/four hours of scheduled activities per week. Scheduled activities may include a combination of teacher directed learning, peer directed learning and online engagement.

The core function of the portfolio is to help students develop an entrepreneurial mindset and the capabilities to bring this mindset to life. This means that throughout the unit you will experience ambiguity, moments of chaos and considerable uncertainty as you deep dive into the world of startups, entrepreneurship and innovation. You will be required to spend substantial time outside of class engaging with various stakeholders to help test and validate your ideas and solutions. Each unit within the entrepreneurship portfolio requires you to act, it’s not about sitting in the classroom, coming up with ideas and thinking you’re correct. You will at times be wrong! So, you will need to iterate, adjust and be willing to fail. This is what entrepreneurship is about, it will be hard but incredibly rewarding! If you are not willing to put in the work and give it your best, then this unit is not for you.
