Synopsis
This unit examines some fundamental question of corporate law, such as “what is a corporation?” and “why do corporations exist?”. You will study different theories of the corporation, and, using these theories, you will be guided through case law and legislation on issues such as indigenous corporations, corporate crime, corporate taxation, and corporate rights. For instance, regarding corporate taxation, you will study the franking credit system; and for corporate rights, you will study the case of Citizens United, a US case that awarded corporations the constitutional right to freedom of speech. The focus will be on Australian case law and legislation, though, as indicated, you will have the chance to also examine aspects of the laws of other jurisdictions, like the US.
