Synopsis
Mergers and acquisitions (M&A) represent a significant part of the practice of corporate law. The structure and regulation of M&A transactions varies depending on a range of factors including the nature of the target company and jurisdictional differences in regulation and practice. Yet, an increasing degree of convergence in M&A law and practice is also occurring, as a result of factors such as cross-border M&A transactions and the expansion of global law firms, investment banks and accounting firms.
This unit will equip students with a coherent framework for understanding this diverse, and international, area of corporate law. In particular, it will explore why different types of M&A transactions give rise to issues which merit different approaches, and examines the different styles of regulating M&A observed throughout the world.
