Overview

This unit exposes students to the differences between companies and other business structures including trusts. Within this content, the role of the Australian Securities and Investments Commission and the Corporations Act will be discussed with emphasis placed on how companies are created, the concept of limited liability, and the duties of directors, officers and promoters. This unit also provides students with an understanding of the rights of members and minority shareholder protection, and forms of corporate insolvency administration, particularly as they affect creditors, officers and investors.

Learning outcomes

When you finish this unit, you should be able to:

    identify the most important elements in the internal and external regulation of companies, how they work, and how they can be used

    explain the nature of trusts, the way they operate, and the rights and obligations of people involved in or dealing with trusts

    analyse real and hypothetical cases and formulate legal arguments by the application of statute and case law

    critically evaluate the effectiveness of aspects of corporate law in the context of the conflicting interests of different parts of the community

  5. 5

    work cooperatively with peers in research and writing required through group work.

Workload and teaching
