Overview

As corporate conduct has received increased scrutiny, many issues have come to light. This unit examines a range of topical situations in which the conduct of company Boards affect the company and other stakeholders. This unit commences with an exploration of the reasons for the interest in corporate governance, including comparison of various international corporate governance systems and best practice models. Corporate responsibility, integrity and the roles of whistle-blowing, audit committees and other risk management and internal controls in corporate governance will be considered. Other topics will vary according to current events in corporate regulation and governance, and may include issues around company boards, executive remuneration, shares and market-related conduct and impact of penalty regimes.

Minimum total expected workload to achieve the learning outcomes for this unit is 144 hours per semester typically comprising a mixture of scheduled learning activities and independent study. Independent study may include associated readings, assessment and preparation for scheduled activities. The unit requires on average three/four hours of scheduled activities per week. Scheduled activities may include a combination of teacher directed learning, peer directed learning and online engagement.

You're expected to read the materials prescribed for each workshop topic and, when required, to have attempted the workshop questions or to have carried out other class-related activities. You're also expected to critically interpret materials prescribed for each workshop. You'll discuss workshop topics in groups and with the whole class. This unit also emphasises research and writing activities as you're required to conduct research in order to write a reaction paper on a scholarly article or other selected materials. In addition, you're encouraged to provide comments and questions on prescribed materials, and the materials you find as you conduct research. Emphasis is also placed on training of cognitive and analytical skills (e. g. critically interpreting materials and elaborating comments and questions) as well as of organisational skills. The assessment tasks for this unit consist in a reaction paper and a take-home assignment.
